Our client is seeking a Corporate Governance professional to join their team.

In this role, you will assist with the provision of first-class internal corporate governance support to the approximately 25 companies forming part of Governance Services across all its locations, working hand in hand with our senior management.

  About the role 

  • Assist with the organisation of meetings and maintenance of the annual meeting schedule
  • Draft structured and coherent agendas and proactively forward plan for meetings
  • Attend meetings and draft accurate, detailed minutes promptly after meetings
  • Form positive, collaborative relationships with stakeholders to ensure the governance support function works smoothly and effectively 
  • Assist with the maintenance of director responsibility lists, authorised signatory lists, board action trackers, constitutional documents and committee terms of reference
  • Monitor and encourage best governance practices for committees
  • Become secretary or assistant secretary of boards or committees (if required) 
  • Assist with the preparation and submission of event-driven filings and notifications with relevant company registries and regulators
  • Maintain statutory books and registers
  • Maintain non-statutory registers including registers of contracts entered into, exceptions to policy, conflicts of interest and assurance certificates
  • Assist and respond to internal CDD requests and maintain our global CDD request register
  • Arrange execution and approval or ratification of relevant documents
  • Assist with the maintenance of our existing corporate regulatory calendar, global governance records and wider corporate governance framework, including our voluntary adoption of the UK Corporate Governance Code

 About you - essential requirements

  • The ideal candidate would be a keen governance professional with experience in an in-house governance and/or company secretarial role
  • Prior experience of working in a regulated professional services environment is advantageous
  • Studying or qualification with the Chartered Governance Institute (CGI) is advantageous
  • Working knowledge of Viewpoint, Board Intelligence and iManage (or equivalent and/or similar platforms) is advantageous
  • Attention to detail and accuracy skills
  • Active interest in AI and tech solutions for governance and company secretarial work
